Securities
- We advise companies on securities subscription and issuance, both in Brazil and abroad, initial public offerings and compliance.
Investment vehicles
- We advise financial and institutional investors on legal issues relating to their potential investment, as well as on the setting up and management of collective and individual investment vehicles, such as Annex IV Investment Portfolio, investment clubs (including those designed for employees of newly privatized companies) and related investment funds.
Private Equity / Venture Capital
- Negotiation and structuring of investment, setting up of appropriate investment vehicles, drafting of contracts and analysis of tax and labor strategies.
Loans and guarantees
- We advise our clients in negotiations with commercial and development banks in structuring investments, examining legal aspects, including the structuring of personal or in rem guarantees, and securitization of receivables.
Development Agencies
- Negotiation and structuring of risk capital investment and/or loans from development banks and agencies, such as the National Economic and Social Development Bank (BNDES/BNDESPAR), multilateral institutions such as the IDB (Inter-American Development Bank), IIC - (Inter-American Investment Corporation), and the IFC - International Finance Corporation. Our assistance also covers project finance operations involving these institutions.

- We advise on the structuring of derivatives and related financial products including drafting and preparation of the necessary documentation.
